1. Introduction

These Terms of Service ("Terms") govern your use of the DealerAgent platform at dealeragent.co.uk ("the Service"), operated by DealerAgent ("we", "us", "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

2. Eligibility

The Service is designed for use by motor vehicle dealers and trade professionals in the United Kingdom. By using the Service, you confirm that you are at least 18 years old and are acting in a business capacity. Registration is by invitation or approval only — we reserve the right to approve or decline account applications at our discretion.

3. Account Responsibilities

• You are responsible for maintaining the confidentiality of your account credentials
• You are responsible for all activity that occurs under your account
• You must provide accurate and complete information when creating your account
• You must notify us immediately of any unauthorised use of your account
• We reserve the right to suspend or terminate accounts that violate these Terms

4. Description of Service

DealerAgent provides a software platform for motor vehicle dealers that includes:

• Vehicle sourcing: Automated searching and matching of vehicle listings from eBay and other integrated marketplaces
• Vehicle intelligence: DVLA and MOT history lookups, market valuations, and deal scoring
• Inventory management: Tracking vehicles through purchase, preparation, and sale
• Multi-marketplace listing: Publishing vehicle listings to eBay and other supported platforms
• AI assistant: Conversational AI for vehicle lookups, valuations, and inventory management
• Analytics: Sales performance, stock analysis, and market trend reporting
• Notifications: Email alerts for new matches, price drops, and daily/weekly digests

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
• Attempt to gain unauthorised access to the Service, other accounts, or our systems
• Use the Service to scrape, harvest, or collect data beyond your normal use of the platform
• Interfere with or disrupt the Service or servers/networks connected to the Service
• Resell, sublicense, or provide access to the Service to third parties without our written consent
• Use automated tools (bots, scripts) to access the Service beyond the features we provide
• Upload malicious content, viruses, or harmful code
• Misrepresent your identity or business credentials

6. Data Accuracy & Third-Party Services

Vehicle data: We source vehicle listing data from eBay and other marketplace APIs, and vehicle history data from DVLA VES and MOT History APIs. While we strive for accuracy, we do not guarantee the completeness, accuracy, or reliability of third-party data. You should independently verify vehicle details before making purchasing decisions.

Valuations: Our market valuations are estimates based on available listing data and should not be relied upon as professional appraisals. They are provided as guidance only.

Deal scoring: Our DealScore system uses automated analysis to rate potential deals. Scores are advisory only and should not be the sole basis for purchasing decisions.

AI-generated content: Our AI assistant and description generator produce content using artificial intelligence. You are responsible for reviewing and verifying any AI-generated content before using it in listings or communications.

7. Marketplace Listings

When you publish vehicle listings through our platform to eBay or other marketplaces, you are bound by those platforms' own terms of service in addition to ours. You are solely responsible for the accuracy of your listings, compliance with consumer protection laws (including the Consumer Rights Act 2015), and any transactions that result from your listings. DealerAgent acts as a tool to facilitate listing creation and management — we are not a party to any sale transaction.

8. Subscription & Payment

The Service offers different subscription tiers with varying features and limits. Details of current pricing and included features are available on our website.

• Subscriptions are billed monthly or annually as selected at sign-up
• Payments are processed securely via Stripe
• You may cancel your subscription at any time — access continues until the end of the current billing period
• We reserve the right to change pricing with 30 days' written notice
• Refunds are provided at our discretion and in accordance with UK consumer law

9. Intellectual Property

Our IP: The Service, including its design, code, features, algorithms, and branding, is owned by DealerAgent and protected by UK and international intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Service.

Your data: You retain ownership of all data you input into the Service (vehicle records, notes, photos, etc.). By using the Service, you grant us a licence to process and store this data as necessary to provide the Service to you.

10. Limitation of Liability

To the maximum extent permitted by law:

• The Service is provided "as is" and "as available" without warranties of any kind, express or implied
• We do not guarantee that the Service will be uninterrupted, error-free, or free of harmful components
• We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service
• Our total liability for any claims arising from the Service shall not exceed the amount you paid us in the 12 months preceding the claim
• We are not liable for losses arising from reliance on vehicle data, valuations, deal scores, or AI-generated content
• We are not liable for any losses arising from third-party service outages (eBay, DVLA, etc.)

Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.

11. Indemnification

You agree to indemnify and hold harmless DealerAgent from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, your violation of these Terms, your violation of any third-party rights, or any content you submit through the Service.

12. Termination

• You may close your account at any time by contacting us
• We may suspend or terminate your account if you breach these Terms, with or without notice
• Upon termination, your right to use the Service ceases immediately
• We will retain your data in accordance with our Privacy Policy and applicable law
• You may request export of your data before account closure

13. Service Availability & Modifications

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will make reasonable efforts to notify you of significant changes that affect your use of the Service. We are not liable for any modification, suspension, or discontinuation of the Service.

14. Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales. We encourage you to contact us first to resolve any disputes informally.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or through a prominent notice on the platform at least 14 days before the changes take effect. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
